  • Regulation of legal entities in the Criminal Procedure Law and criminal liability of legal entities ex art.

  • Compliance plans as a tool for exoneration or mitigation of criminal liability for legal entities.
  • The figure and criminal liability of the Administrator.
  • Distribution of criminal responsibilities of administrators and possibilities of exoneration.
  • Criminal jurisprudence on Compliance.

Prevention of Criminal and Extra-Criminal Risks (1 ECTS)

  • Risk mapping.
  • Identification of organizational processes where risks may reside.
  • Identification of risks that may affect the organization.
  • Evaluation of identified risks.
  • Control and verification of risks.
  • Profile, orientation, and knowledge of the professional: who can successfully carry out risk identification and the creation of a risk map?

  • The program's communication channel to workers.
  • Implementation methodology.
  • The importance of activity, business unit operation, and company organizational chart in generating a compliance program.
  • Financial resource management.
  • Definition of protocols and procedures for decision-making in the organization.
  • The reporting channel and guarantees for whistleblowers.
  • Specific issues for the proper functioning of "Whistleblowing" policies: Regulations and codes, key aspects, and validity of evidence.
  • Internal and external investigation procedures.
  • Disciplinary measures and incentives.
  • Procedure for the custody and management of evidence and other documents that are part of the compliance program.
  • Training and awareness.

Module 6: The Control Body and the Compliance Officer (1 ECTS)

  • Control, monitoring, and supervision bodies of the compliance program.
  • First, second, and third lines of defense.
  • Organization, suitability, and structure of the Control Body: external/internal, single-person/collegiate.
  • External advisors.
  • Profile and professional preparation of the Compliance Officer.
  • Skills and qualities.
  • The independence of the Compliance Officer.
  • Functions of the Control Body and the Compliance Officer.
  • Human, financial, material, and technical resources.
  • Periodic review and adaptation of the compliance program.
